These Terms of Service ("Terms") govern your use of brandspinex.com and your purchase or use of BrandSpineX products and services. BrandSpineX is a product of Element Zero Media LLC ("BrandSpineX," "we," "us," or "our"). By using this website or purchasing a BrandSpineX product or service, you agree to these Terms.

1. BrandSpineX Services

BrandSpineX provides customized brand systems designed to help businesses guide the use of artificial intelligence tools in accordance with their brand voice, messaging, creative standards, and related guidelines. Depending on the package purchased, deliverables may include brand voice guidance, messaging rules, AI instructions, guardrails, examples, workflows, quality-assurance guidance, visual direction, image-generation guidance, or other materials described on the applicable purchase page. The exact deliverables included in your purchase are those described for the package you select at the time of purchase.

2. Customer Information and Materials

BrandSpineX is created using information and materials supplied by the customer. You are responsible for providing information that is accurate, complete, and appropriate for us to use in performing the services. You represent that you have the necessary rights or permission to provide any materials you submit to us, including brand guidelines, copy, images, presentations, documents, trademarks, logos, and other content. You retain ownership of materials you provide to us. You grant Element Zero Media LLC permission to use those materials as reasonably necessary to create and deliver the BrandSpineX services you purchased.

3. AI and Third-Party Tools

BrandSpineX is designed to provide guidance and instructions that can be used with artificial intelligence and other third-party tools. We do not own or control those third-party tools and cannot guarantee their availability, functionality, output, security, accuracy, or future behavior. AI-generated output can contain errors, omissions, inaccuracies, or unintended content. BrandSpineX is intended to improve brand consistency and the quality of AI-assisted work, but it does not eliminate the need for human judgment and review. You are responsible for reviewing and approving content before publishing, distributing, or otherwise using it.

4. No Guarantee of AI Output

BrandSpineX does not guarantee that an AI system will reproduce a brand voice perfectly or generate identical results each time. AI models, features, interfaces, and behavior can change over time and may interpret the same instructions differently. Examples shown on the BrandSpineX website or in demonstration materials illustrate the intended use and potential effect of the system. They are not guarantees of specific results from any AI platform.

5. Delivery

BrandSpineX products are customized services and require customer participation. Any estimated delivery time begins after we have received the information and materials reasonably necessary to begin the work. If information is incomplete or clarification is required, delivery may be delayed until the necessary information is provided. Any delivery timeframe displayed on the website is an estimate unless we expressly agree otherwise in writing.

6. Revisions

The number of revisions included in a BrandSpineX purchase is determined by the package description in effect at the time of purchase. Requests that materially change the original scope, positioning, strategy, or supplied information may constitute additional work and may require an additional fee. We will communicate with you before performing work that would result in additional charges.

7. Intellectual Property

You retain ownership of your pre-existing trademarks, logos, brand materials, content, and other intellectual property supplied to us. Upon full payment, you may use the customized final BrandSpineX deliverables created specifically for your business for your own internal business and marketing purposes. Element Zero Media LLC retains ownership of its pre-existing and underlying methodologies, frameworks, processes, templates, systems, structures, know-how, tools, and other intellectual property used to create BrandSpineX deliverables. Your purchase does not transfer ownership of the BrandSpineX methodology, underlying system, templates, or other intellectual property belonging to Element Zero Media LLC.

8. Permitted Use

Your customized BrandSpineX deliverables may be used within your organization and with contractors or service providers working on behalf of your organization. Unless we agree otherwise in writing, you may not:

  • Resell or sublicense the BrandSpineX system or deliverables as a standalone product or service.

  • Publish or distribute BrandSpineX templates or proprietary methodology for others to copy or reuse.

  • Represent BrandSpineX methodology or proprietary materials as your own product or methodology.

  • Use BrandSpineX materials to create or sell a substantially similar competing product based on our proprietary materials.

Nothing in these Terms restricts your ownership or ordinary use of your own underlying brand, content, trademarks, or other materials.

9. Payment

Prices are displayed before purchase. Payment for one-time BrandSpineX services is due at checkout unless otherwise stated. Payments made through this website are processed using Squarespace and its payment-processing providers. Squarespace treats service products as non-physical services and supports both one-time and recurring service purchases. You agree to provide accurate billing and payment information.

10. Ongoing Brand QA

If you purchase Ongoing Brand QA, the service is billed on a recurring basis at the price and frequency disclosed at checkout. The subscription continues until canceled according to the cancellation terms presented at purchase. Cancellation stops future recurring charges but does not automatically refund amounts already charged. We will clearly disclose the recurring price, billing frequency, and cancellation terms before enrollment. Clear disclosure of recurring charges and straightforward cancellation are particularly important for subscription services.

11. Refunds and Cancellations

Refunds and cancellations are governed by the Refund Policy displayed on brandspinex.com and available during the purchase process. Please review that policy before purchasing. Nothing in these Terms limits rights or remedies that cannot legally be waived under applicable law.

12. Confidentiality

We will use reasonable care when handling non-public brand materials you provide for the purpose of creating your BrandSpineX system. You should not submit passwords, authentication credentials, highly sensitive personal information, regulated data, or information you are not authorized to disclose.

13. Accuracy of Website Information

We make reasonable efforts to describe BrandSpineX products, services, pricing, and features accurately. We may update or modify website content, package descriptions, pricing, or features from time to time. Changes will not retroactively alter the deliverables included in a purchase already completed unless you agree to the change.

14. Disclaimer of Warranties

To the extent permitted by applicable law, BrandSpineX services and this website are provided on an "as is" and "as available" basis. We do not warrant that the website, BrandSpineX materials, AI tools, or AI-generated outputs will be error-free, uninterrupted, or suitable for every particular purpose.

15. Limitation of Liability

To the extent permitted by applicable law, Element Zero Media LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of BrandSpineX, this website, third-party AI tools, or AI-generated content. To the extent permitted by applicable law, Element Zero Media LLC's total liability arising from a particular BrandSpineX purchase will not exceed the amount you paid to Element Zero Media LLC for that purchase. Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

17. Changes to These Terms

We may update these Terms as our products, services, or business practices change. The version applicable to a purchase is the version in effect when the purchase is made, unless applicable law requires otherwise. The "Last updated" date at the top of this page identifies the most recent revision.
